SaaS Exit Readiness Dashboard

A 40-point Exit Readiness Checklist for Software Firms

Today we have a new SaaS Exit Readiness Dashboard from our friends at M&A advisor Aventis Advisors that you can use to quickly assess how ready your company is for an exit. Just make a copy of it and fill it out for your firm. 

When we sold my company iContact, a public company CEO we were recruiting ended up saying no to the job offer, but decided to buy our firm for $169M instead.

We received a signed LOI within a week and the deal closed within 60 days, as the firm wanted to announce it with their next quarterly earnings report. Had we not already had audited financials, a strong data room, our metrics prepared from a prior “almost-exit” to Salesforce for $100M, we wouldn’t have gotten the transaction done in time.

We were ready in advance – and it made the deal successful.

So what do you need to do to prepare your firm to be ready for a sale?

To help you prepare for a sale in advance of a fateful reachout or intentionally-run process, Aventis has created this very useful SaaS Exit dashboard to assess how well you are prepared for an exit: a 40-point exit readiness checklist. 

All you need to do is answer a few straightforward yes-or-no questions about different aspects of your business: Financial Processes, Product and technology, Sales and marketing, Customer Success, Operations and HR, Legal and compliance, and Exit Prep. There are definitely many more factors to consider than simply your revenue growth rate and EBITDA level.

At the end, you will receive an overall Exit Readiness Score, which will help you determine how prepared your business is for an exit and provide an estimate of how much time you will need to improve. Using the checklist, you can also identify areas for improvement and take action to prepare.

The right exit prep can also make the difference between needing to use a deal marketplace (like Acquire.com or Flippa) – or whether you can get picked up by an experienced M&A advisor who can help you manage the deal process and optimize the terms and sale price.
